1. Definitions and Scope

In these Terms and Conditions, “TXRise” means the application and web service platform operated by TXRise LLC and its wholly owned subsidiaries. “Services” means the TXRise website, mobile applications, and all functionality, content, and tools provided through them. “Content” means all information, data, text, software, images, audio, video, materials, and other resources provided or accessible through the Services.

These Terms and Conditions supplement any existing agreements between you and TXRise, including customer agreements, account agreements, and other agreements binding you on your use of any software, products, goods, services, content, tools, or information provided by TXRise subsidiaries. In the event of any conflict between these Terms and Conditions and the foregoing agreements, these Terms and Conditions shall prevail unless otherwise expressly agreed.

2. Services and Content

2.1 Scope of Services

TXRise provides you with a variety of financial information, tools, and functions through its services, including but not limited to:

  • Account overview (such as positions, balances, transaction confirmations, and history);
  • Financial market news, research reports, educational materials, and related data;
  • Market data required by federal securities laws (such as security quotes and transaction prices);
  • Interactive financial tools (such as alerts and calculators);
  • Tax, bill payment, and account management assistance functions;
  • Trademarks, logos, and other intellectual property rights provided by TXRise and third parties;
  • Any other information, content, services, or software.

2.2 Third-Party Content

Some content is provided by third parties (“Third-Party Content”), including information published through social media, blogs, forums, podcasts, etc. Third-Party Content may be embedded in the service via hyperlinks or frames. TXRise makes no guarantees regarding the accuracy, completeness, timeliness, or legality of Third-Party Content and assumes no responsibility for it. Your access to and use of Third-Party Content is entirely at your own risk.

3. Acceptance of Terms

By accessing or using this Service, you acknowledge that you have read, understood, and agree to be bound by these Terms (including any policies referenced therein). If you are using this Service on behalf of any legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to any part of these Terms, please immediately cease using this Service.

Special Users: Clients of TXRise Financial, TXRise Securities, and TXRise Crypto may enjoy enhanced access rights, and their relationship with TXRise is governed by separate agreements (such as the Client Agreement).

4. Disclaimer

The Service and Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, TXRise and any third-party providers expressly disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Uninterrupted, timely, secure, or error-free Service or Content;
  • Accuracy, completeness, reliability, or usability of any content.

You understand and agree that you use the Service and its content at your own risk. TXRise and its third-party providers do not endorse or approve any third-party content. Unless otherwise expressly stated in writing, nothing in the Service constitutes financial, legal, tax, or investment advice. 5. Limitation of Liability

  • Loss of profits, revenue, goodwill, use, or data;
  • Cost of procuring substitute goods or services;

Any damages arising from:

  • a) Use of or inability to use the Service or Content;
  • b) Any goods, data, information, or services obtained through the Service, or any transactions you conduct through the Service;
  • c) Unauthorized access to or alteration of your account, transmitted content, or data resulting from your actions, omissions, or negligence;
  • d) Any other matter relating to the Content or Service.

The foregoing limitation applies even if TXRise or third-party providers have been advised of the possibility of such damages.

6. Independent Investment Decisions

TXRise offers discounted services to independent investors. TXRise does not provide any form of recommendation or investment advice unless we expressly provide you with personalized investment advice in writing. As an independent investor, you are solely responsible for evaluating any information obtained through the Service and making investment decisions based thereon. You agree that TXRise and any third-party providers shall not be liable for any losses arising from any investment decisions you make based on the Service or third-party website content. Past performance is not indicative of future results.

7. Geographic Restrictions

This Service and its content are intended for use by residents of the United States only. This Service does not constitute a solicitation of intent to any person in any jurisdiction where it is considered illegal or unauthorized. TXRise does not guarantee that the Service is accessible or legal in all regions.

8. Use of Content and Intellectual Property

8.1 Publication Date of Content

Unless otherwise specified, the publication date of any content on the Service is the date of its first publication. TXRise and third-party providers have no obligation to update any content.

TXRise and its third-party providers make no warranties regarding the value, suitability, or future performance of any securities or investments.

Without TXRise's prior written consent, no part of the Service or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any form (including "mirroring").

TXRise trademarks and all related logos are the exclusive property of TXRise. Other trademarks are the property of their respective owners. You may not use any trademark without the written permission of the relevant owner.

9. Termination and Modification

TXRise has the right to terminate these Terms or suspend your access to the Service or Content at any time without notice, whether or not there is a just cause. If you breach any provision of these Terms, TXRise may immediately terminate your access without prior notice.

TXRise shall not be liable for any loss to you or any third party caused by the termination or suspension of the Service. TXRise and its third-party providers may modify or discontinue any content or services at any time without notice. You agree to release TXRise and its third-party providers from any liability arising from such modifications or discontinuations.

10. User Communications and Code of Conduct

10.1 Communication Records

By using this service, you agree that TXRise and its representatives may record and retain all communications, information, and data between you and TXRise in any form.

10.2 Forum Use

All information posted through forums (such as blogs, wikis, online meetings) is public information. You assume all risk in relying on third-party content on the forums. When discussing specific securities, you must disclose any interests you hold in those securities.

10.3 Prohibited Conduct

You agree not to engage in any of the following activities:

  • Forging identifiers to conceal the source of information;

  • Infringing on the intellectual property rights or privacy rights of others;
  • Distributing unsolicited commercial advertisements or "spam";
  • Uploading materials containing viruses, malicious code, or other harmful technologies;
  • Interfering with the service or the network connecting to the service;
  • Violating any applicable law (including securities laws, exchange rules);
  • Stalking, harassing others, or collecting other users' personal data;
  • Promoting illegal activities or harmful behavior;
  • Unauthorized sale of any securities, goods, or services;
  • Using the forum as a link to other websites;
  • Accessing the forum in any illegal manner or for any illegal purpose.

In addition to these Terms, your use of the Service is subject to other policies in effect at the time by TXRise, including but not limited to the TXRise Privacy Policy (accessible through the Service). TXRise may send you service announcements and administrative messages, which are considered part of the Service and you may not be able to opt out of receiving them.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the state or federal courts in Santa Clara County, California. You irrevocably consent to the personal jurisdiction and territoriality of such courts.

16. Severability

If any part of these Terms is held to be invalid or unenforceable, that part shall be amended to the extent necessary to make it valid and enforceable, and the remaining parts shall remain in full force and effect.
